1. Applicability

1.1 These Terms apply to all offers, agreements, and services by Georgia Kyriakopoulos / Studio Sense (“Speaker/Consultant”) and the Client.
1.2 Any terms issued by the Client are excluded unless explicitly accepted in writing.
1.3 Services include keynotes, workshops, consultancy, strategy sessions, masterclasses, and other related services, both on-site and digital.
1.4 Georgia Kyriakopoulos / Studio Sense reserves the right to update these Terms periodically. Updates take effect 14 days after notification.

2. Formation of Agreement

2.1 An agreement is concluded when the Client confirms in writing or via email acceptance of a proposal or booking.
2.2 Offers are non-binding unless otherwise stated and valid for 30 days.
2.3 The Client acknowledges familiarity with the Speaker’s work and style and agrees to the agreed content and scope.
2.4 Rights and obligations under the Agreement cannot be transferred without written consent.

3. Scope of Services

3.1 The Speaker/Consultant shall perform the agreed services with due care, expertise, and in accordance with professional standards.
3.2 Unless otherwise agreed, engagements include preparation, communication, research, design of materials, travel, and delivery.
3.3 The Speaker/Consultant’s obligations are best-effort commitments, not guarantees of results.

4. Fees and Payment

4.1 Fees are stated in euros and exclusive of VAT, travel, accommodation, and third-party rights unless stated otherwise.
4.2 Unless otherwise agreed, speaking engagements are prepaid 7 days before the event; consultancy or advisory work within 21 days after invoice date.
4.3 Late payment incurs 1% interest per month plus 15% collection costs.
4.4 International payments can be made through SEPA or other approved methods.
4.5 The Speaker may suspend performance if payment is not received on time.

5. Cancellations by the Client

If the Client cancels or postpones, the following fees apply immediately:

  • Within 84 days (3 months) of event: 50% of agreed fee

  • Within 56 days (2 months): 75%

  • Within 28 days (1 month): 100%

Costs already incurred (travel, accommodation, design, materials) are charged in full. If rescheduled later, the full fee applies plus the cancellation costs above.

6. Cancellations by the Speaker

6.1 In the event of illness, force majeure, or unforeseen obligations, the Speaker will:
a. Offer a new date; or
b. Suggest a suitable replacement.
6.2 If rescheduling is not possible, prepayments are refunded.
6.3 The Speaker is not liable for indirect or consequential damages.
6.4 If government or travel restrictions prevent a live event, the engagement may be transferred to a digital or hybrid format under the same fee, unless both parties agree otherwise.

7. Client’s Obligations

7.1 The Client provides all relevant information and cooperation for successful execution.
7.2 The Client ensures professional facilities (AV, lighting, stage, etc.) and guarantees the Speaker’s safety.
7.3 Access to private contact details or confidential rate information of the Speaker is not permitted.
7.4 If these obligations are not met, the Speaker may suspend or cancel the service without refund.

8. Intellectual Property

8.1 All materials, frameworks, visuals, and content shared during the engagement are and remain the exclusive property of Georgia Kyriakopoulos / Studio Sense, including concepts such as Philophilic Design™, Regenerative Cultures™, and other proprietary models.
8.2 No materials may be copied, shared, or adapted without written consent.
8.3 Removal of the Speaker’s name or brand from shared materials is prohibited.
8.4 Any approved recordings or materials are restricted to internal use only unless otherwise agreed.

9. Confidentiality and Privacy

9.1 Both parties must keep all confidential information private.
9.2 Client and participant data are handled according to GDPR and will not be shared or sold.
9.3 For educational or event participant lists, opt-out options will be provided.
9.4 The Speaker ensures all subcontractors or assistants are bound by confidentiality.

10. Liability and Complaints

10.1 Liability is limited to the total invoice amount for the relevant engagement.
10.2 No liability is accepted for consequential damages or loss of profit.
10.3 Any complaint must be submitted in writing within 14 days of the service date.
10.4 If founded, the Speaker may offer to re-perform the service or issue partial compensation.
10.5 Disputes unresolved after written communication will be referred to independent mediation before legal proceedings.

11. Image and Sound Recordings

11.1 Without prior written consent, no recording (audio, video, livestream, photography) of the Speaker’s performance may be made.
11.2 Unauthorized recordings incur a €5,000 penalty plus €500 per day until the material is deleted.
11.3 Approved recordings must include visible credit to Georgia Kyriakopoulos / Studio Sense. 11.4 Publicity and Promotion: By booking or using the services of Georgia Kyriakopoulos / Studio Sense, the Client grants permission for the Speaker to mention the Client’s organization name and logo in reference lists, proposals, presentations, and on social or media channels as examples of past collaborations. Short quotes from testimonials or publicly shared reviews may also be used for promotional purposes. No confidential or internal information will ever be disclosed, and any use beyond this scope (e.g. commercial campaigns or paid advertising) will only take place after separate written consent.

12. Termination

In case of bankruptcy, non-payment, or suspension of the Client’s operations, the Agreement may be terminated immediately. Cancellation terms remain applicable.

13. Applicable Law and Jurisdiction

This Agreement is governed by Dutch law.
Disputes shall first be submitted to mediation; if unresolved, to the competent court in Utrecht, the Netherlands.
